Terms of Service

1. Who we are

The BaselytIQ Utility Input Tool ("BaselytIQ", the "Service") is operated by Drumgo Consulting, LLC ("we", "us", "our"). By creating an account or using the Service, you ("you", "user") agree to these Terms of Service (the "Terms"). If you do not agree, do not use the Service.

2. Acceptance and eligibility

By continuing to use BaselytIQ you accept these Terms. You represent that you are of legal age to enter into a binding contract and, if you are using the Service on behalf of an organization, that you have authority to bind that organization to these Terms.

3. The Service

BaselytIQ is a software service that helps energy engineers capture, validate, and analyze utility bill data across buildings and portfolios, including AI-assisted bill extraction, weather normalization, and export of summary reports.

4. Accounts and credentials

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate account information and keep it up to date. Notify us promptly of any unauthorized use.

5. Acceptable use

You must not misuse the Service. In particular, you agree not to:

  • use the Service in violation of any applicable law or regulation;
  • upload malware or attempt to interfere with the Service's security or availability;
  • attempt to gain unauthorized access to accounts, systems, or data;
  • scrape, harvest, or reverse-engineer the Service beyond what is expressly permitted by law;
  • upload content that infringes intellectual property, privacy, or other rights of third parties;
  • use the Service for fraud, spam, or deceptive business practices.

6. License and intellectual property

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes. All rights, title, and interest in and to the Service, including the underlying software, models, documentation, and branding, remain the property of Drumgo Consulting, LLC and its licensors. No rights are granted except as expressly set out here.

7. Your content

You retain ownership of the utility data, files, and other content you upload to the Service ("Your Content"). You grant us a limited license to host, process, and display Your Content solely as needed to operate the Service for you (including sending bill files to our AI subprocessor for extraction, as described in our Privacy Policy). You are responsible for having the necessary rights to upload Your Content.

8. Payment and subscriptions

Paid plans are sold on a monthly or annual subscription basis, or as a one-time purchase, as described on our pricing page. Subscriptions renew automatically for successive periods at the then-current price unless cancelled before the next renewal. Fees are quoted exclusive of taxes; applicable sales tax, VAT, or GST is added at checkout.

Merchant of Record. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries related to billing and handles returns. Payment, billing, tax, cancellation, and refund mechanics are additionally governed by the Paddle Buyer Terms.

Refunds are handled as described in our Refund Policy.

9. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay fees when due, pose a security or fraud risk, or repeatedly violate our acceptable use rules. You may cancel your subscription at any time via the Paddle customer portal. Upon termination, your right to use the Service ends and, after a reasonable export window, we may delete Your Content from active systems.

10. Service level and warranties

The Service is provided "as is" and "as available". We do not guarantee that it will be uninterrupted, error-free, or that AI-extracted data will be perfectly accurate — you are responsible for reviewing extracted values before relying on them for engineering, M&V, or reporting decisions. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or loss of goodwill. Nothing in these Terms limits liability that cannot be limited under applicable law (such as fraud or personal injury caused by our negligence).

12. Indemnification

You will defend and indemnify Drumgo Consulting, LLC against third-party claims arising from Your Content, your use of the Service in violation of these Terms, or your violation of applicable law.

13. Changes to the Service or these Terms

We may update the Service and these Terms from time to time. Material changes to the Terms will be communicated by updating this page and, where appropriate, notifying you in-app or by email. Continued use of the Service after changes take effect constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of the principal place of business of Drumgo Consulting, LLC, without regard to conflict-of-laws rules. The state and federal courts of that jurisdiction have exclusive jurisdiction over any disputes, except where mandatory local consumer law provides otherwise.
